It would help if you elaborated on why you want this. There might be other ways to achieve the same end goal.
Maybe you can program the client of the .NET assembly and the MATLAB DLL to use them as two components? That way, you could probably switch the MATLAB part either be directed to by the DLL (your other client) or to the native MATLAB function (within a MATLAB session).
