since we are having our MOSS 2007 on 32bit machine it is not possible to upgrade it to 2010 so i think to only way is to install fresh moss 2010 and then migrate the sites and webs from 2007 to 2010,

what is the best way to do this?

A: 

You can go for the fresh install of 2010, but maybe you might consider going for the upgrade to 64bit (under moss 2007) first and then do an upgrade to SharePoint 2010. This way you can still upgrade site by site to 2010 and have them all on the same server.

Also keep in mind that you might have to recompile (under 64bit) the features you added (if not even start them all over again). Custom branding has to be done all over.

You could try moving (backup restore) the content databases to a new environment (sql 2008 x64) and try and attach / upgrade those content db's only. A content db is usually enough, Search Indexes can be rebuilt etc.
