FogBugz from FogCreek It's free for no more than two users. Do the trial, then at the end, change to the free 2-user version.

This is an online-tool, but they have also an option to run your own server: See the Details

It's a great tool, and it's cleanness and flexibility is also worth the money for the commercial version.
